Welcome to Good Day Labs. These Terms of Service ("Terms") govern your access to and use of the website located at [noopik.com] (the "Site"), and any purchase of products through the Site (together, the "Services"). The Services are operated by [Good Day Labs, LLC] ("Good Day Labs," "Noopik," "we," "us," or "our").

By accessing the Site, creating an account, or placing an order, you agree to be bound by these Terms and our [Privacy Policy]. If you do not agree, do not use the Site.

1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account or place an order on the Site. By placing an order, you represent that you meet this requirement and that any information you provide is accurate and complete.

Noopik Daily is formulated for ages 4 and up as a product — but you must be an adult to purchase it. If you are buying on behalf of a minor, you are responsible for appropriate use and supervision.

2. Our Products & Health Disclaimer

Noopik products are dietary supplements. Please read this section carefully:

  • These statements have not been evaluated by the Food and Drug Administration. Our products are not intended to diagnose, treat, cure, or prevent any disease.
  • Noopik products are not a substitute for a varied diet, a healthy lifestyle, or medical care.
  • Consult your physician or pediatrician before use if you are pregnant, nursing, taking medication, have a medical condition, or are giving the product to a child, and before making any changes to a child's supplement routine.
  • Product labels, ingredient lists, and allergen information are updated from time to time. Always read the label on the physical product you receive rather than relying solely on the Site, and discontinue use and consult a doctor if you experience an adverse reaction.
  • Individual results vary. We do not guarantee any specific health outcome.

3. Accounts

Some features may require you to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at [bren@daylabs.co] if you suspect unauthorized use of your account.

4. Orders, Pricing & Payment

  • All prices are listed in [USD] and are subject to change without notice, except as required by law for orders already placed.
  • We reserve the right to refuse or cancel any order for any reason, including suspected fraud, pricing errors, or product unavailability. If we cancel an order after payment, we will issue a full refund for that order.
  • You authorize us (and our third-party payment processor) to charge your chosen payment method for the total amount of your order, including applicable taxes and shipping.
  • Sales tax is calculated based on your shipping address and applicable law.

5. Subscriptions ("Subscribe & Save")

If you purchase Noopik Daily through a subscription:

  • Recurring charges. Your payment method will be charged automatically at the frequency you select (e.g., every 30 days) until you cancel. Each recurring order renews at the then-current subscription price unless we notify you of a price change in advance as required by law.
  • How to cancel. You may pause, skip, modify, or cancel your subscription at any time through your account portal or by emailing [bren@daylabs.co]. Cancellations take effect before your next scheduled billing date if received at least [X] business days in advance; otherwise, the next shipment may already be in process.
  • No penalty. There is no cancellation fee.
  • Notice of changes. We will provide advance notice, as required by applicable law, of any material change to your subscription's price or terms before it takes effect.
  • California and other state residents: if applicable state law requires additional disclosures or a specific cancellation mechanism for automatically-renewing purchases, we will provide the required disclosures and honor the required cancellation method for residents of that state. 

6. Shipping & Delivery

  • We currently ship to [the United States / list countries].
  • Estimated delivery times shown at checkout are estimates only and not guaranteed.
  • Risk of loss and title for products pass to you upon our delivery to the shipping carrier.
  • You are responsible for providing an accurate shipping address. We are not responsible for orders delayed, lost, or misdelivered due to incorrect address information.

7. Returns, Refunds & Money-Back Guarantee

  • We offer a 30-day money-back guarantee on your first order of Noopik Daily. If you're not satisfied, contact us at [bren@daylabs.co] within 30 days of delivery for a refund or replacement, subject to any conditions posted on our [Returns page].
  • Refunds are issued to the original payment method. Please allow [X] business days for the refund to appear.
  • Opened or used product may still qualify under the guarantee above; this does not affect any other statutory rights you may have.

8. Promotions, Discounts & Gift Cards

Promotional codes, discounts, and gift cards are subject to any additional terms stated at the time of offer, are not redeemable for cash except where required by law, and may be modified or discontinued at any time.

9. Prohibited Uses

You agree not to:

  • Use the Site for any unlawful purpose or in violation of these Terms;
  • Attempt to gain unauthorized access to the Site, other accounts, or our systems;
  • Interfere with or disrupt the Site's operation, including through malware, scraping, or automated bots not expressly permitted by us;
  • Resell Noopik products without our prior written consent;
  • Submit false, misleading, or fraudulent information, including fraudulent reviews.

We may suspend or terminate your access to the Site or Services for any violation of this section.

10. Reviews & User-Generated Content

If you submit a review, comment, photo, or other content to the Site ("User Content"), you grant Good Day Labs a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, display, and distribute that content in connection with marketing and operating the Services. You represent that your User Content is honest, based on your genuine experience, and does not infringe any third party's rights. We may remove any User Content at our discretion.

11. Intellectual Property

The Site, including all text, graphics, logos, the Noopik name and marks, product formulations, and design, is owned by or licensed to Good Day Labs and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets without our prior written permission.

12. Third-Party Services & Links

The Site may use or link to third-party services (e.g., payment processors, review platforms, shipping carriers) that are governed by their own terms and privacy policies. We are not responsible for the content, policies, or practices of third-party services.

13. Disclaimer of Warranties

THE SITE AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT WHERE SUCH DISCLAIMERS ARE PROHIBITED BY LAW.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOOD DAY LABS AND ITS OFFICERS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR PRODUCTS. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR YOUR ORDER WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify and hold harmless Good Day Labs from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Services.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles. 

17. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date above reflects the most recent revision. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

18. Severability & Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Good Day Labs regarding the Services.
